These Terms of Service (“Terms”) govern your access to and use of the Founders Everywhere platform and related services (the “Service”) operated by Founders Everywhere LLC (“we,” “us,” or “our”), a limited liability company incorporated in New York. By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your business. By using the Service, you represent and warrant that you meet these requirements.

2. Account Registration

To use the Service, you must create an account. You agree to provide accurate, complete, and current information and to keep your account credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at support@founderseverywhere.com if you suspect unauthorized access.

3. Connected Third-Party Accounts

The Service allows you to connect your Facebook Pages and Instagram Business accounts. By connecting these accounts, you:

  • Authorize Founders Everywhere to access and manage your connected accounts as directed by you through the Service

  • Confirm that you have the necessary rights and permissions to connect those accounts

  • Agree that your use of connected platform features is subject to Meta's Terms of Service and Platform Policies in addition to these Terms

  • Acknowledge that no changes will be made to your connected accounts without your explicit approval

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation

  • Violate Meta's Terms of Service or Community Standards

  • Post spam, misleading content, or content that infringes third-party intellectual property rights

  • Attempt to gain unauthorized access to the Service or other users' accounts

  • Interfere with or disrupt the integrity or performance of the Service

  • Use the Service for any purpose other than legitimate business marketing and management

5. AI-Generated Content

The Service uses artificial intelligence to generate content suggestions and recommendations. You acknowledge that:

  • AI-generated content is provided as suggestions only and requires your review and approval before publication

  • You are solely responsible for any content published to your connected accounts

  • Founders Everywhere does not guarantee the accuracy, appropriateness, or fitness of AI-generated content for your specific needs

  • You should review all content carefully before approving publication

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Founders Everywhere LLC and are protected by applicable intellectual property laws. You retain ownership of all content you create or publish through the Service.

By using the Service, you grant Founders Everywhere a limited, non-exclusive license to access, process, and display your content solely to provide the Service to you.

7. Fees and Payment

The Service is offered on a paid subscription basis. Current pricing is available at https://fe.founderseverywhere.com/pricing. Subscriptions are available on a monthly or annual basis.

  • Monthly subscriptions are billed every 30 days from the date of sign-up

  • Annual subscriptions are billed once per year and may be offered at a discounted rate compared to monthly billing

  • All fees are stated in US dollars and are non-refundable except as required by applicable law or as expressly stated in these Terms

  • You authorize us to charge your payment method on a recurring basis for the subscription plan you select

We reserve the right to change our pricing at any time. We will provide at least 30 days advance notice of any price increases via email or notice within the Service. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of the paid period. We do not provide prorated refunds for unused portions of a subscription period unless required by law.

8. Termination

You may terminate your account at any time by contacting us or using the account deletion feature within the Service. We may suspend or terminate your access if you violate these Terms or for any other reason with reasonable notice, except where immediate termination is necessary to protect the Service or other users.

Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination will survive.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOUNDERS EVERYWHERE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Founders Everywhere LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New York.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice within the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
